Terms of Service Agreement for the mia platform.

1. Agreement to Terms

By accessing or using the mia platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including trial users, paid subscribers, and enterprise customers.

2. Use License

Subject to your compliance with these Terms, mia grants you:

  • A limited, non-exclusive, non-transferable, revocable license to use the Service
  • Access to our AI-powered market and competitive intelligence tools
  • The right to integrate the Service with your approved third-party applications
  • Storage and processing of your data according to your subscription plan

This license does not include the right to:

  • Resell or sublicense the Service
  • Use the Service for illegal or unauthorized purposes
  • Reverse engineer or attempt to extract the source code
  • Use the Service to build a competing product

3. User Accounts

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Promptly notify us of any unauthorized use
  • Accept responsibility for all activities under your account
  • Comply with all applicable local, state, national, and international laws

4. Subscription and Payment

  • Billing Cycle: Monthly or annual, as selected during signup
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We may modify prices with 30 days notice
  • Refunds: Cancellations take effect at the end of the current billing period
  • Free Trial: Trial access available on request, no credit card required

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by AureliaX Consulting B.V. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to your data. By using the Service, you grant us a license to:

  • Process and analyze your data to provide the Service
  • Generate aggregated, anonymized insights for service improvement
  • Store and backup your data according to our infrastructure requirements

6. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy and GDPR Compliance Statement. We are committed to:

  • Processing data only for stated purposes
  • Implementing industry-standard security measures
  • Providing data portability and deletion rights
  • Complying with GDPR, CCPA, and other privacy regulations

7. Prohibited Uses

You may not use the Service to:

  • Violate any laws or regulations
  • Transmit malware, viruses, or malicious code
  • Harass, abuse, or harm others
  • Infringe on intellectual property rights
  • Scrape or data mine without authorization
  • Interfere with or circumvent security features
  • Use for high-risk activities where failure could cause harm

8. Service Level Agreement

For paid subscriptions, we commit to:

  • Uptime: 99.9% availability (excluding scheduled maintenance)
  • Support: Response within 24 hours for standard plans
  • Data Backup: Automated backups every 12 hours with 30-day retention
  • Security: ISO 27001 aligned infrastructure on Microsoft Azure

9. Limitation of Liability

To the maximum extent permitted by law, mia shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages exceeding the amount paid to us in the past twelve months
  • Any matter beyond our reasonable control

10. Indemnification

You agree to defend, indemnify, and hold harmless AureliaX Consulting B.V. and its affiliates from any claim, demand, or damage arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

We may terminate or suspend your account immediately, without notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Conduct that harms or could harm the Service or other users
  • Legal requirements or law enforcement requests

Upon termination, your right to use the Service ceases. You may request data export within 30 days of termination.

12. Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Amsterdam, Netherlands, except where prohibited.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other notices published on the Service, constitute the entire agreement between you and AureliaX Consulting B.V. regarding the Service.
